Terms of Service

1. Acceptance of Terms

By accessing or using 123DemoPro ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms constitute a legally binding agreement between you and BeehiveStack ("Company," "we," "us," or "our").

2. Description of Service

123DemoPro is a software-as-a-service (SaaS) platform that allows users to build, customize, and share Voice AI demo experiences for sales and marketing purposes. The Service includes a demo builder, leads dashboard, shareable demo links, and email/SMS outreach tools.

3. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms. By using the Service, you represent and warrant that you meet these requirements. The Service is intended for business use and is not directed at consumers.

4. License & Permitted Use

Subject to your payment of applicable fees, we grant you a limited, non-exclusive, non-transferable license to use 123DemoPro for your internal business purposes. License terms by plan:

• Starter & Pro Plans: License is issued to a single seat (one user). Sharing access credentials or using the license for multiple users or businesses is not permitted.
• Pro Plan: License covers multi-user access and permits white-labeling demos for your clients. Each client is considered a sub-use under your single Agency license.
• Building and sharing AI bot demo links for sales prospects
• Using the leads dashboard to organize and outreach to prospects

5. Prohibited Use

You may not use the Service to:

• Send unsolicited bulk messages, spam, or any communications that violate CAN-SPAM, GDPR, or similar anti-spam laws
• Create, distribute, or promote illegal content, including content that violates intellectual property rights, defames individuals, or facilitates fraud
• Deceive recipients by misrepresenting the AI's capabilities as real (beyond what the "This is a scripted demo" disclosure states)
• Collect personal data from demo recipients without proper consent under applicable laws (GDPR, CCPA, CAN-SPAM, etc.)
• Reverse engineer, decompile, or attempt to extract source code
• Resell or sublicense the Service without written permission (except as permitted for Pro plan white-labeling)
• Use the Service for any illegal, harmful, or fraudulent purpose
• Circumvent any usage restrictions or access controls

6. Pricing & Payment

Fees are as listed on the Pricing page. The Starter plan is a one-time payment. Pro and Agency plans are billed monthly or annually. All fees are non-refundable unless required by law. We reserve the right to change pricing with 30 days notice to active subscribers.

7. Intellectual Property & Content Ownership

All content, code, design, features, and infrastructure of the 123DemoPro platform are owned by BeehiveStack or its licensors. BeehiveStack retains all rights not expressly granted in these Terms.

You retain full ownership of any custom scripts, bot personas, branding, and content you create using the Service. By using the Service, you grant us a limited, royalty-free license to host and display your content solely as necessary to operate the Service on your behalf.

8. Uptime & Service Availability

We strive for high availability on all paid plans. However:

• Free / Trial Tier: No uptime guarantee is provided. The Service may be interrupted, throttled, or discontinued at any time without notice.
• Starter Plan: Best-effort availability with no formal SLA.
• Pro Plans: We target 99% monthly uptime for core services, excluding scheduled maintenance. Planned downtime will be communicated in advance when possible.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BEEHIVESTACK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. IN NO EVENT WILL OUR AGGREGATE LIABILITY EXCEED THE AMOUNT PAID BY YOU TO BEEHIVESTACK IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless BeehiveStack and its officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Cancellation Policy

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. Specific terms by plan:

• Starter (one-time): No recurring charges. Access is perpetual for the version purchased.
• Pro & Scale (monthly/annual): Cancel anytime via your account or by emailing support@123demopro.com. No refund is issued for the current billing period already paid. You retain access through the end of the paid period.

We do not offer prorated refunds for unused time within a billing period. Exceptions may be made at our sole discretion for extenuating circumstances — contact us.

13. Termination

We reserve the right to suspend or terminate your access to the Service at any time for violation of these Terms. You may stop using the Service at any time. Sections 7, 9, 10, and 11 survive termination.

14. Governing Law

These Terms are governed by the laws of the State of Tennessee, United States, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Knox County, Tennessee.

15. Changes to Terms

We may update these Terms at any time. We will update the "Last Updated" date. Your continued use of the Service after changes constitutes acceptance. For material changes, we will make reasonable efforts to notify active subscribers.
